End-User License Agreement

This End-User License Agreement (“Agreement”) is between you and Coin, 3564 Wesley Chapel Rd, Suite E-130, Decatur, GA 30034, USA (“Coin”, “we”, “us”). By connecting Coin to QuickBooks Online or otherwise using Coin, you agree to this Agreement. If you do not agree, do not use Coin.

1. License

We grant you a limited, non-exclusive, non-transferable, revocable license to use Coin for your internal business purposes while this Agreement is in effect.

2. Restrictions

You will not: copy, modify, or create derivative works of Coin; reverse engineer it except where the law allows; resell, sublicense, or rent it; use it to break the law or anyone’s rights; or interfere with its security or operation.

3. QuickBooks Online and Intuit

Coin connects to QuickBooks Online through Intuit’s API with your permission. Your use of QuickBooks Online is governed by your agreement with Intuit. Intuit is not a party to this Agreement and is not responsible for Coin. You can revoke Coin’s access at any time by disconnecting it in QuickBooks Online or at coin.alfred.cloud/disconnect.

4. Your data

You keep all rights to your data. You authorize us to access, process and store it only to provide Coin to you, as described in our Privacy Policy. You are responsible for the accuracy of the data you put into QuickBooks and for reviewing anything Coin creates or updates.

5. Ownership

We and our licensors own Coin, including all software, designs and trademarks. This Agreement grants no rights other than the license in section 1.

6. Fees

Any fees for Coin are agreed separately in writing. Unless so agreed, Coin is provided without charge.

7. Termination

You may stop using Coin and disconnect it at any time. We may suspend or end your access if you breach this Agreement or if we stop offering Coin. On termination your license ends, and we delete your QuickBooks access tokens and handle your data as described in the Privacy Policy.

8. Disclaimer

COIN IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Coin does not provide accounting, tax or legal advice.

9. Limitation of liability

TO THE EXTENT ALLOWED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE OR DATA, AND OUR TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID FOR COIN IN THE 12 MONTHS BEFORE THE CLAIM OR US$100.

10. Changes

We may update this Agreement. The current version is always at coin.alfred.cloud/eula with its date. Continuing to use Coin after a change means you accept it.

11. Governing law

This Agreement is governed by the laws of the State of Georgia, USA, without regard to conflict-of-law rules. Courts in DeKalb County, Georgia have exclusive jurisdiction.
